ARRIS Acquires Motorola Home: Creates Premier Video Delivery and Broadband Technology Company
Powerful Combination Transforms Industry, Accelerates Innovation - April 17, 2013

ARRIS Group, Inc. today announced that it completed its acquisition of the Motorola Home business from a subsidiary of Google Inc. This combination will enable ARRIS to transform how service and content providers deliver entertainment and communications. ARRIS paid Google approximately $2.2 billion in cash and issued Google 10.6 million shares of its common stock in connection with the transaction. 

ARRIS Announces Completion of Holding Company Formation - April 16, 2013
ARRIS Group, Inc. today announced that effective April 16, 2013, it has reorganized its business by creating a new holding company structure. The primary purpose of the reorganization was to facilitate ARRIS' proposed acquisition of the Motorola Home business from a subsidiary of Google, which ARRIS expects to close Wednesday, April 17, 2013. The business operations of the company and its subsidiaries will not change as a result of the reorganization.

ARRIS Announces Right to Convert 2.00% Convertible Senior Notes Due 2026 - April 12, 2013
ARRIS Group, Inc. (NASDAQ: ARRS) today announced that pursuant to the terms of the indenture governing its 2.00% Convertible Senior Notes due 2026 (the "Notes"), the Notes are convertible at the option of the holders (the "Conversion Option") from April 12, 2013 through the close of business on May 29, 2013 (the "Conversion Period").

ARRIS Receives Department of Justice Clearance - April 12, 2013
ARRIS announced that the U.S. Department of Justice has cleared ARRIS' proposed acquisition of the Motorola Home business from a subsidiary of Google. As a result, all required regulatory approvals have been received, or the applicable waiting periods have expired, and ARRIS expects to close the transaction on or about April 17, 2013.
